Sub: Acquisition of 2.4% equity stake in Vortex Engineering Private Limited from Ventureast Funds.

Pursuant to Regulation 30 of the SEBI Listing Regulations, we inform that the Vakrangee Limited has entered into a Share Purchase Agreement today i.e. June 6, 2024 for acquisition of 2.4% equity share capital of Vortex Engineering Private Limited from Ventureast Funds (Seller).

Consequent to the acquisition, Vakrangee Limited shareholding in Vortex Engineering Private Limited has increased from 75.8% to 78.2%.

Details required to be disclosed under the SEBI Listing Regulations, 2015 read with Circular No. SEBI/HO/CFD/CFD‐PoD‐1/P/CIR/2023/123 dated 13th July 2023 have been provided as under.

	promoter group/ group companies have any interest in the entity being acquired? d)	Objects and impact of acquisition (including but not limited to, disclosure of reasons for acquisition of target entity, if its business is outside the main line of business of the listed entity);	This is a strategic investment which will help the Company to have a complete backward integration in place for ATM Business and thereby unlocking future growth opportunities, leverage the cost synergies and technology know-how.
e)	Brief details of any governmental or regulatory approvals required for the acquisition;	The closing of the transaction is subject to customary approvals, condition’s and execution of detailed Share Purchase Agreement.
f)	Indicative time period for completion of the acquisition;	The transaction is expected to be completed within 30 days.
g)	Consideration - whether cash consideration or share swap or any other form and details of the same;	Cash
h)	Cost of acquisition and/or the price at which the shares are acquired;	Rs. 0.92 Crores for acquiring 2.4% equity interest in Vortex from seller
i)	Percentage of shareholding / control acquired and / or number of shares acquired;	Acquisition of 18,305 Equity shares from Ventureast Tenet India Fund and Ventureast Tenet Fund II collectively called as“Ventureast Funds” representing2.4% of the equitystake in Vortex.
