Sub: Intimation of changes in Key Managerial Personnel (KMP) of the Company.

Ref: Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Dear Sir/Madam,

This is to inform you that, Board of Directors in their meeting held today on Saturday, December 19, 20020 has, inter alia, considered and approved the following changes in the Key Managerial Personnel of the Company:

• 1. Appointment of Mr. Ajay Jangid as Chief Financial Officer (CFO) and Key Managerial Personnel (KMP) of the Company with effect from December 21, 2020 as per provisions of Section 203 of the Companies Act, 2013 in place of Mr. Subhash Singhania who shall be relieved from his responsibilities as Chief Financial Officer (CFO) and Key Managerial Personnel (KMP) of the Company with effect from close of the business hours on December 20, 2020.
• 1. Appointment of Mr. Jay Bhansali as Company Secretary and Compliance Officer(CS) and Key Managerial Personnel (KMP) of the Company with effect from December 21, 2020 as per provision of Section 203 of the Companies Act, 2013 in place of Mr. Mehul Raval who shall be relieved from his responsibilities as Company Secretary (CS) and Key Managerial Personnel (KMP) of the Company with effect from close of the business hours on December 20, 2020.

The particulars of appointment of Mr. Ajay Jangid as Chief Financial Officer and Mr. Jay Bhansali as Company Secretary & Compliance Officer as required under of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements)

Regulations, 2015 read with SEBI Circular CIR/CFD/CMD/ 4/2015 dated 09th September, 2015 is given in Annexure-I.

Further, please be informed that as per Regulation 30(5) of SEBI LODR, the Board of Directors of the Company has authorized Mr. Dinesh Nandwana, Managing Director & Group CEO and/or Mr. Ajay Jangid and /or Mr. Jay Bhansali to determine materiality of an event or information and for the purpose of making disclosures to the Stock Exchange(s) under this Regulation.
