Möglingen/Cologne, July 1, 2015.

Effective January 1, 2015, USU Software AG (Frankfurt, Prime Standard, ISIN
DE000A0BVU28), Möglingen, ("USU") has acquired all shares in
SecurIntegration GmbH, Cologne, ("SecurIntegration") to expand its
portfolio in the field of software license management. The purchase price
of the shares to be paid in cash consists of a fixed component and an
earn-out component and, depending on the future performance of
SecurIntegration, will be between approximately EUR 1,0 and EUR 3,0
million.

The Management Board and Supervisory Board of USU approved the acquisition
at their meeting today. The Management Board of USU and the shareholders of
SecurIntegration will sign the contracts for the purchase of the shares
soon.

SecurIntegration is a software company specializing in SAP license
optimization that has created the de facto standard for SAP license
management with its proprietary Software License Compliance (SLC). USU
Software AG's new subsidiary therefore ideally supplements the existing
software license management portfolio of the USU Group. SecurIntegration
was founded in 2001 and currently employs 15 people. Its customers include
renowned companies such as Continental, Dätwyler and AMAG.

In fiscal 2014 SecurIntegration generated sales of around EUR 1.5 million
and a positive operating result.
