Sub: Disclosure under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015

We refer to our earlier letter dated 6th December, 2024 wherein it was informed that Usha Martin Americas Inc. (hereinafter referred to as “UMAI”), a wholly owned subsidiary of the Company in the United States of America had entered into an Agreement to acquire 2.02% of the share capital of Usha Siam Steel Industries Public Company Limited (hereinafter referred to as “USSIL”), a subsidiary of the Company from Kobelco Wire Company Limited.

In this regard, please note that the aforesaid acquisition of shares by UMAI has been completed today.

Consequent to the aforesaid acquisition, USSIL has become a step down wholly owned subsidiary of the Company.

The intimation of the completion of the acquisition of shares was received by the Company at 12:54 pm today.
