Sub: Disclosure under Regulation 30 of SEBI (LODR)

In accordance with the provisions of the Companies Act, 2013, the shareholders at the 28[th] Annual General Meeting of the Company in July 2014 had appointed Mr. G N Bajpai as a NonExecutive Independent Director of the Company for a term of 5 years till July 2019.

SEBI has newly inserted Regulation 17 (1A) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“ SEBI LODR ”) which requires that a Non-Executive Director above 75 years of age can continue his term beyond 31[st] March 2019 subject to shareholders’ approval.

Mr Bajpai (aged about 76 years), by way of letter dated 28 March 2019, has informed the Company that due to certain preoccupations, he will not be able to continue his term as Director and Non-Executive Chairman of Company beyond 31[st] March 2019.

Please treat this letter as a disclosure pursuant to Regulation 30 read with Part A of Schedule III of the SEBI (LODR) and take the same on record.
