Dear Members of the Board
I, Shikha, having DIN: 07013436, hereby tender my resignation from the position of Independent Director of USG Tech Solutions Limited (“the Company”) with effect from closure of business hours on Tuesday, 19th May, 2026.
This resignation is necessitated due to personal reasons, which will constrain my ability to devote the necessary time and attention to my duties as an Independent Director.
Consequently, upon my resignation becoming effective, I shall also cease to be a member of the Audit Committee, Nomination and Remuneration Committee and Stakeholder Relationship Committee of the Board.
In accordance with the requirements of Schedule III, Part A of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, I hereby confirm that there are no other material reasons for my resignation other than those provided above.
