Waiver from ASX Listing Rule 6.23.3

Uscom Limited has been granted a waiver in relation to ASX Listing Rule 6.23.3. The waiver is subject to shareholder approval of Resolution 6 to be put to the 2016 Annual General Meeting to be held on 30 November 2016.

The reason for Uscom Limited applying for the waiver is set out in the second paragraph of page 10 of the Notice of Annual General Meeting and Explanatory Statement. The waiver permits the Vesting Date of the Indeterminate Rights to be amended.
