USCOM LIMITED – PRIVATE PLACEMENT CLEANSING STATEMENT

On 23 July 2015, Uscom Limited ( Uscom ) issued:

• 9,666,669 New Shares at $0.15 per New Share; and

• 3,222,111 free attaching Options exercisable at 25c until expiry 31 July 2017 ( Options ),

under a private placement.

Uscom gives this notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

Uscom gives notice that:

1. Uscom issued the New Shares and Options without disclosure to investors under Part 6D.2 of the Corporations Act;

2. as at the date of this notice, Uscom has complied with:

3. (a) the provisions of Chapter 2M of the Corporations Act as they apply to Uscom; and

4. (b) section 674 of the Corporations Act; and

5. as at the date of this notice, there is no information that is “excluded information” (as defined in sections 708A(7) and 708A(8) of the Corporations Act).
