Uscom Limited Share Purchase Plan Cleansing Notice

In accordance with paragraph 7(f)(ii) of ASIC Class Order 09/425 ( CO 09/425 ), Uscom Limited ( ASX:UCM gives notice that:

1. Uscom Limited (the Company ) will make offers to issue fully paid ordinary shares under a Share Purchase Plan ( SPP ) without disclosure to investors under Part 6D.2 of the Corporations Act 2001 (the Act );

2. this notice is given in accordance with CO 09/425 and in particular, paragraph 7(f)(ii) of CO 09/425 which requires the Company to give this notice to ASX within the 24 hour period before the SPP offer;

3. as at 27 July 2015, the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company, and section 674 of the Act; and

4. as at 27 July 2015, there is no information:

5. a. that has been excluded from a continuous disclosure notice in accordance with the ASX Listing Rules; and

6. b. that investors and their professional advisers would reasonably require for the purpose of making an informed assessment of:

   • i. the assets and liabilities, financial position and performance, profits and losses and prospects of the Company; or

   • ii. the rights and liabilities attaching to the shares.
