USCOM LIMITED –CLEANSING NOTICE – SPP SHORTFALL PLACEMENT

On 21 August 2015, Uscom Limited ( Uscom ) issued 2,666,667 fully paid ordinary shares and 888,889 free attaching options ( the Securities ) to Chesapeake Capital Limited of the shortfall from the Share Purchase Plan and under the underwriting agreement as set out in the Appendix 3B also released to the ASX.

Uscom gives this notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

Uscom gives notice that:

1. Uscom issued the Securities without disclosure to investors under Part 6D.2 of the Corporations Act;

2. as at the date of this notice, Uscom has complied with:

3. (a) the provisions of Chapter 2M of the Corporations Act as they apply to Uscom; and

4. (b) section 674 of the Corporations Act; and

5. as at the date of this notice, there is no information that is “excluded information” (as defined in sections 708A(7) and 708A(8) of the Corporations Act).
