CLEANSING STATEMENT – PRIVATE PLACEMENT

On 20 May 2014, Uscom Limited ( Uscom ) issued:

• 5,783,337 fully paid ordinary shares (New Shares) at $0.24 per New Share under a private placement to sophisticated and institutional investors.

Uscom gives this notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

Uscom gives notice that:

1. Uscom issued the New Shares without disclosure to investors under Part 6D.2 of the Corporations Act;

2. as at the date of this notice, Uscom has complied with:

3. (a) the provisions of Chapter 2M of the Corporations Act as they apply to Uscom; and

4. (b) section 674 of the Corporations Act; and

5. as at the date of this notice, there is no information that is “excluded information” (as defined in sections 708A(7) and 708A(8) of the Corporations Act).
