CLEANSING STATEMENT – PRIVATE PLACEMENT

Uscom Limited (Uscom) today issued 5,800,000 ordinary shares ( New Shares ) at $0.12c per New Share each credited as fully paid, pursuant to a private placement.

Uscom gives this notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

Uscom gives notice that:

1. Uscom issued the New Shares without disclosure to investors under Part 6D.2 of theCorporations Act;

2. as at the date of this notice, Uscom has complied with:

3. (a) the provisions of Chapter 2M of the Corporations Act as they apply to Uscom; and

(b) section 674 of the Corporations Act; and

1. as at the date of this notice, information that is “excluded information” (in accordance with the requirements of sections 708A(7) and 708A(8) of the Corporations Act) is set out below:

2. a. Uscom is currently holding subscription agreements and monies for 2,134,997 ordinary fully paid shares with such shares to be issued subject to shareholder approval.
