CLEANSING STATEMENT – PRIVATE PLACEMENT

On 7[th] November 2012, Uscom Limited (Uscom) issued 3,234,997 ordinary shares ( New Shares ) at $0.12 per New Share each credited as fully paid, pursuant to a private placement.

Uscom gives this notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

Uscom gives notice that:

1. Uscom issued the New Shares without disclosure to investors under Part 6D.2 of the Corporations Act;

2. as at the date of this notice, Uscom has complied with:

(a) the provisions of Chapter 2M of the Corporations Act as they apply to Uscom; and

(b) section 674 of the Corporations Act; and

1. as at the date of this notice, there is no information that is “excluded information” (in accordance with the requirements of sections 708A(7) and 708A(8) of the Corporations Act).
