CLEANSING STATEMENT – SHARE PURCHASE PLAN

On 19[th] of January 2011 Uscom Limited ( Uscom ) announced that it intended to make an offer to eligible shareholders to apply for additional ordinary shares in Uscom ( New Shares ) under a share purchase plan ( SPP ). The SPP will open on the 19[th] of January 2011.

The SPP will be offered to eligible shareholders in Australia in accordance with and pursuant to an exemption from Parts 6D.2 and 6D.3 of the Corporations Act (other than sections 736 and 738) granted by the Australian Securities and Investments Commission under Class Order CO 09/425 ( Instrument ).

Uscom gives notice that:

• 1 Uscom will make offers to issue New Shares without disclosure to investors under Part 6D.2 of the Corporations Act;

• 2 this notice is being given in accordance with the Instrument;

• 3 as at the date of this notice, Uscom has complied with:

• (a) the provisions of Chapter 2M of the Corporations Act as they apply to Uscom; and

• (b) section 674 of the Corporations Act; and

• 4 as at the date of this notice, there is no information that is “excluded information” (in accordance with the requirements of sections 708A(7) and 708A(8) of the Corporations Act as if this notice were a notice under section 708A 5(e) of the Corporations Act).
