Based on the decision made by the Management of Đuro Đaković Grupa d.d. on publishing a Public Invitation for collecting information on non-binding expressions of interest in participation in the restructuring by recapitalisation, with the prior consent of the Đuro Đaković Grupa d.d. Public Invitation

for expression of non-binding interest of investors to participate in the restructuring of Đuro Đaković Grupa d.d. by recapitalisation

1. Management of Đuro Đaković Grupa d.d. with the seat in Slavonski Brod, M. Budaka 1, PID 58828286397, a company registered in the Court register of the Commercial court in Osijek, permanent attendance in Slavonski Brod under the register number 050002378 (hereinafter: "Issuer"), upon prior consent of the Supervisory Board, made on June 6th 2020 a Decision on publishing a Public Invitation for expression of non-binding interest of investors to participate in the restructuring of the company by recapitalisation, as one of the measures in preparation of the Company Restructuring Programme.

2. This Public Invitation is in compliance with the Decision of the Government of the Republic of Croatia from January 16 th 2020 on issuing a state guarantee in favour of the Croatian Bank for Reconstruction and Development and/or other commercial banks in the country and/or abroad for a loan and/or financial framework for solvency of the companies Đuro Đaković Grupa d.d., Slavonski Brod, Đuro Đaković Specijalna Vozila d.d. Slavonski Brod and Đuro Đaković Industrijska rješenja d.d., Slavonski Brod and the Decision of the General Assembly of the Company from Mai 26th 2020, which, inter alia, set out the obligation of the Management, Supervisory Board and the General Assembly of the Company for making all decisions that make it possible for a possible strategic partner to enter the ownership structure of the Company according to the Restructuring programme.

The restructuring process is carried out in accordance with the Guidelines on State aid for rescuing and restructuring non-financial undertakings in difficulty (2014/C249/1), issued by the European Commission.

1. The purpose of this Public Invitation is to determine the existence of investors interested in taking part in the restructuring and recapitalisation process of the company.

2. Đuro Đaković Grupa d.d. is calling all interested investors to show their interest by sending a letter of intent with a remark "Letter of intent for expressing interest in participation in the restructuring of Đuro Đaković Grupa d.d. by recapitalisation" to the registered office address:

Đuro Đaković Grupa d.d. Mile Budaka 1 35 000 Slavonski Brod.

The deadline for providing the Letter of intent to the address stated above is July 13th 2020 at 12:00 p.m.

1. The letters of intent can be submitted by domestic and foreign legal and natural persons.

2. The day of submission of the letter of intent is the day when the offer was received at the seat of Đuro Đaković Grupa d.d. The letters of intent submitted after the above mentioned deadline will not be taken into consideration.

3. Publishing this Public Invitation or receiving a letter of intent which shows non-binding interest do not create any obligation for the potential investor or for Đuro Đaković Grupa d.d., nor can they constitute a basis for any requirement or right of the submitter of the letter of intent.

The company reserves the right to communicate with the potential strategic partners, based on the letters received, as well as the right to make it possible for all individual submitters of the letter of intent to consult the Restructuring programme of the Company and certain information of the Company during a period determined by a company decision.

The Company will subsequently decide on the course of the procedure, but it reserves the right to partially or completely quit the process, without obligation for prior notice to the potential investors.

Đuro Đaković Grupa d.d. reserves the right to cancel this Public Invitation without explanation at any time and it therefore cannot be held liable for any potential damage.

1. Đuro Đaković Grupa d.d. reserves the right to change, quit or cancel the process, change any rules or procedures regarding this process, without prior notice and without any prior explanation or reason.
