ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously reported on the Company’s current report on Form 8-K filed October 6, 2014, on September 30, 2014, the Compensation Committee (“Compensation Committee”) of the Board of Directors of Radio One, Inc. (the “Company”) approved the principal terms of new employment agreements for each of the Company’s named executive officers. On March 23, 2015, the Company entered into a new definitive employment agreement with Linda J. Vilardo, the Company’s Executive Vice President and Chief Administrative Officer, in accordance with the previously disclosed terms. Ms. Vilardo’s employment agreement, effective October 15, 2014, is attached as an exhibit hereto.
