Sub: Appointment of our Independent Director, Ms. Usha Rao-Monari at UNDP

Dear Sir / Madam,

We would like to congratulate our Independent Director Ms. Usha Rao-Monari, for her appointment to the UNDP (United Nations Development Programme) as Under SecretaryGeneral and Associate Administrator.

Ms. Usha Rao-Monari has held several senior positions, notably as Director of the Sustainable Business Advisory Group at the International Finance Corporation, part of the World Bank Group and has served on the Boards of a number of organisations in the field of sustainable development. She has also held a number of Board and advisory positions in the areas of water, natural capital, biodiversity and environment.

The Board of Directors of the Company at its meeting held on 12[th] May, 2021 noted that as per the protocol at UNDP, Ms. Usha Rao-Monari is not allowed to hold office/place of profit in any governmental/private organization, given concerns related to potential conflict of interest. Consequentially, she has communicated that she is required to step down as independent director. The Board while accepting her resignation expressed its deepest gratitude for her contribution and placed on record profound appreciation for her appointment at UNDP where she will be able to grow UNDP’s operations in 170 plus countries and contribute in achieving UNDP’s mandate of poverty reduction, social equity and climate resilience.

Ms. Usha Rao-Monari has the passion to work in the areas of water, natural capital, biodiversity and environment. UPL believes that there will be many opportunities in future to work together, particularly in the areas of Sustainability and towards educating, empowering and skill development of farmers. She has confirmed that there is no reason for her resignation other than one stated above. The resignation will be effective from and including 13[th] May, 2021.
