Sub.: Intimation about the Postal Ballot Notice and Appointment of Scrutinizer for the e-Voting Process
The Board approved the “ issue of postal ballot notice for approval of following matter through remote e-Voting facility to all the members of the Company to cast their vote” through their board resolution dated 27.04.2024:
“Appointment of Ms. Jigyasa Sharma (DIN: 10474292) as the Non-Executive Non-Independent Director of the Company”
Pursuant to regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulation 2015, the Board has appointed Ms. Nithya Pasupathy (FCS 10601/ COP:22562) Partner of SPNP Associates, as the scrutinizer to scrutinize the e-voting process in a fair and transparent manner in connection with postal ballot of the company to be held from May 03, 2024, to June 01, 2024. The Cut-off date for this postal ballot is April 26, 2024. The Company will be sending electronic copies of the Notice of Postal Ballot to all the shareholders whose email addresses are registered with the Company/Depository Participant(s).
Detailed procedure for remote e-voting will be provided in the Notice of the Postal Ballot. Necessary advertisement in one English and one Tamil newspaper will be given in compliance with the Companies Act, 2013, SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and other applicable Act/Rules.
