Item 8.01 Other Events.

On January 23, 2018, Unum Group announced that it had entered into a definitive agreement to acquire Pramerica Zycie Towarzystwo Ubezpieczeń i Reasekuracji S.A. (“Pramerica Zycie”), a financial protection provider in Poland, from a subsidiary of Prudential Financial, Inc. The transaction is expected to close by the end of the year, subject to regulatory approvals and customary closing conditions. A copy of the news release relating to the acquisition is attached hereto as Exhibit 99.1.
