Item 8.01 Other Events.

On August 1, 2016, Unum Group completed its previously announced acquisition of H&J Capital, LLC, parent of Starmount Life Insurance Company and AlwaysCare Benefits (“Starmount”), a leading independent dental and vision benefits company headquartered in Baton Rouge, Louisiana. A copy of the news release relating to the completion of the Starmount acquisition is attached hereto as Exhibit 99.1.
