Dear Sirs,

We are pleased to inform that the Nomination & Remuneration Committee of the Board of the Company on August 09, 2023 inter-alia approved;

• A) the allotment of 28,420 equity shares of the face value of Rs. 2/- each, pursuant to the exercise of options by the grantees under UNO Minda Employees Stock Option Scheme, 2019;

The paid-up equity share capital of the company stands increased from Rs. 114,61,27,576 to 114,61,84,416.

The Company is in the process of applying for the listing of these aforesaid shares with the stock exchanges i.e. NSE and BSE.

in terms of Regulations l0(c) of the SEBI (Share Based Employee Benefits & Sweat Equity) Regulations, 2021 ("SEBI Regulations"), the details of the shares allotted as above are given in the Annexure-1 to this intimation. Further, this intimation is in terms of Regulation 30 of the SEBl(LODR) Regulations, 2015, however, we wish to clarify that the aforesaid allotment of shares is not material in nature to the Company. The disclosure under regulation 30 of SEBI (LODR) Regulations 2015, as per SEBI Circular No. SEBI/HO/CFD/CFD­ PoD-1/P/CIR/2023/123 dated 13 July, 2023 is also enclosed against the aforesaid allotment as Annexure-11 to this intimation.
