Sub:-Update on investment in Harita Fehrer Limited

Dear Sir(s),

This is with reference to our earlier communication dated June 13, 2021, wherein we had communicated that the Board of Directors of the Company at their meeting held on that day approved the investment in Harita Fehrer Limited ("HFR")by way of purchasing of 49% stake of F.S. Fehrer Automotive GmbH ("Fehrer") in HFR, comprising of 98,48,040 (Ninety Eight Lacs Forty Eight Thousand Forty) equity share of face value Rs.10 each, for a total consideration of Rs.115 Crores (Rupees One Hundred Fifteen Crores). Post­ acquisition, HFR will become wholly owned subsidiary of the Company. The said acquisition was subject to completion of procedural regulatory and other compliance and was expected to be completed by 30[th ] November, 2021.

We wish to update you that the procedural regulatory compliances are still under progress and the proposed acquisition will be done post completion of procedural regulatory compliances on or before March 31, 2022. We will inform once the acquisition transaction is completed.
