In terms of Regulc1Liu11 30 uf SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, we wish to inform you thilt on the rccommcnd.ition of Nomination and Remuneration Committee, the Board of Directors of the Company approved the appointment of Mr. Satish Balkrishna Borwankar (DIN-01793948) as an Additional Director in the Category of Non-Executive Independent Director on the Board of the Company for a term of three years with effect from 12/04/2022 to 11/04/2025, subject to approval of the Shareholders of the Company.

Further, this is to confirm that Mr. Satish Balkrishna Borwankar, appointed on the Board of the Company is not debarred from holding the office of Director by virtue of any SEBI, MCA, RBI order or any other such regulatory authority.

The details as required to be disclosed under the aforesaid Regulation 30 read with Clause 7 of Para A of Annexure I of SEBI Circular No. CIR/CFD/CMD/4/2015 dated 09 September, 2015 is enclosed as Annexure-1 to this letter.

	passing out, he started his carrier with Tata Motors as a
	Graduate Engineer Trainee in 1974. He acquired wide
	experience of working in automobile ind�stry particularly
	in manufacturing and quality functions of commercial
	vehicles and passenger vehicles of Tata Motors.
	Mr. Borwankar worked in various executive positions for
	overseeing and implementing product development,
	manufacturing operations and quality assurance of
	commercial and passenger vehicle business of Tata
	Motors. He played significant role in setting up some of
	the green field projects in Tata Motors.
	He superannuated as Executive Director and Chief
	Operating Oficer after serving the organisation for 45
	years.

Mr. Satish Balkrishna Borwankar is a B-Tech (Hons.)- Mechanical Engineering, of 1974 batch of IIT Kanpur. He started his carrier with Tata Motors from 1974 as a Graduate Engineer Trainee. He acquired wide experience of working in automobile industry, particularly in manufacturing and quality functions of commercial vehicles & passenger vehicles of Tata Motors.

Mr. Borwankar worked in various executive positions, for overseeing and implementing product development, manufacturing operations and quality assurance of commercial & passenger vehicle business of Tata Motors. He played significant role in setting up some of the green field projects in Tata Motors.

He superannuated as Executive Director & Chief Operating Officer after serving the Organisation for 45 years.
