Sub: - Appointment of Non-Executive Independent Director on the Board of the Company.

In terms of Regulation 30 of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, we wish to inform you that on the recommendation of Nomination and Remuneration Committee, the Board of Directors of the Company in its meeting held today i.e. Tuesday, 6 August, 2019 has approved the appointment of Dr. Chandan Chowdhury as a Non Executive Independent Director on the Board of the Company for a term of two years with effect from 07/08/2019 to 06/08/2021, subject to approval of the shareholders of the Company.

The details as required to be disclosed under the aforesaid Regulation 30 read with Clause 7 of Para A of Annexure I of SEBI Circular No. CIR/CFD/CMD/4/2015 dated 09 September, 2015 is enclosed as Annexure-I to this letter.

	Brief Profle Profssor Chandan Chowdhury did his MS in Mechanical Engineering and has a double Doctorate. Currently, he is an Associate Dean and a Practice Profssor of Operations Management and Infrmation Systems at the Indian School of Business (ISB). He is also the Executive Director leading the (1) Munjal Institute fr Global Manufcturing and the (2) Punj-Lloyd Institute fr Infastructure Management at ISB, the two institutes set-up with MIT, as an Associate Partner. Prior to joining ISB, he served three top multinationals as Managing Director and Country Manager. Dr. Chanda was a CEO and Director at IFS-India. He was also the Country Manager at IBM-Sofware Group (Strategic Accounts). Prior to joining ISB, he served Dassault Systemes over 5 years, initially as a Managing Director-India and subsequently as Vice President-Global Afairs. Profssor Chandan has an excellent blend of academia and industry. During his last academic stint, Dr. Chandan was a Profssor, Dea (Academy), Chairma (Boad of Research) and Member (Board of Goverors) at NITIE (National Institute of Industrial Engineering, established as a joint initiative between United Nations and Goverent of India in 1963). Profssor Chandan has been key note speaker in many conferences related to Industry 4.0, blockchain and smat technologies. Profssor Chandan currently teaches at ISB a subject titled Emerging Topics in Maufcturing (in this subject, students lea concepts and cases on applications of advanced digital techologies like Industry 4.0, Interet of Things and blockchain, overall the students lear how digital technologies can be leveraged fr business

		transfrmation and quantum business benefts). During his
		stint in the industry, he has worked in many leading
		organizations in their initiatives on technology driven business transfrmation.
		Profssor Chandan has been the recipient of numerous
		awards, and his special areas of interest are 'Innovation' and 'Technology Enabled Business Transfrmation'. He is passionate about leveraging technology to mae the world a
		better place to live in.

	between Directors	of the Company.
