Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Jeffry B. May, Senior Vice President, Marketing, has left the Company by mutual agreement effective February 10, 2017. In connection with Mr. May’s departure, he will be eligible to receive severance pursuant to our Severance Plan.

Piper P. Jameson has been appointed as Executive Vice President and Chief Marketing Officer of the Company, effective February 14, 2017.
