Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Kenneth J. Cranston, Senior Vice President, Admissions, has left the Company effective April 28, 2015. In connection with Mr. Cranston’s departure, he will be eligible to receive severance pursuant to our Severance Plan, as amended December 2014.

Sherrell E. Smith, our Senior Vice President of Operations and an executive with over 20 years of experience at UTI, including prior leadership of Admissions, will assume responsibility for the Admissions function.
