Item 8.01. Other Events.

On November 9, 2004, Standard and Poor’s Ratings Services placed the Registrant’s ‘A-’ long-term corporate credit and other ratings on CreditWatch with negative implications. At the same time, Standard and Poor’s Rating Services affirmed the Registrant’s ‘A-2’ short-term corporate and commercial paper ratings.
