Subject: Disclosure of Material Event pursuant to Para B(8) of Part A of Schedule III of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations. 2015 ("Listing Regulations") _

Dear Sir(s),

This has reference to our earlier communication dated 22[nd] September, 2020 regarding the judgment and order dated 18[th] September, 2020 passed by the Single Bench of the Hon’ble High Court at Calcutta. In paragraph (b) at page 155 of the said judgement and order, it has been inter-alia stated that the plaintiff no. 1 Harsh Vardhan Lodha is restrained from holding any office in any of the entities of M.P. Birla Group.

We have been informed by our Advocates vide their email dated 5[th] October, 2020 that the Division Bench of the Hon’ble High Court at Calcutta vide order dated 1[st] October, 2020 has inter-alia clarified that the “the operation of paragraph (b) among the directions would be a restriction on plaintiff no. 1 Harsh Vardhan Lodha to the extent of it being a restriction from holding any office in any of the entities of the M.P. Birla Group during the pendency of the suit, on the strength of the shares referable to the estate of PDB (Priyamvada Devi Birla)” (emphasis supplied in original).
