Item 7.01 Regulation FD Disclosure

On April 18, 2011, Unitil Corporation (“Unitil” or “Registrant”) issued a press release announcing that Jacobs Consultancy submitted its independent Management Audit Report to the Massachusetts Department of Public Utilities (“MDPU”) regarding the management of the electric operations of Unitil’s Massachusetts utility subsidiary, Fitchburg Gas and Electric Light Company, including the management practices of Unitil Corporation. A copy of Unitil’s press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
