Notification and public disclosure of transactions by persons discharging managerial responsibilities (PDMRs) and persons closely associated with them

Conditional Awards (Awards) over 617,745 of the Company's ordinary shares were granted to directors and PDMRs as set out below on 05 December 2025.

Awards were granted under the rules of the United Utilities Group PLC Long Term Plan 2022 and in accordance with the Directors' Remuneration policy. Vesting of the Awards will be subject to continued service with the Company (subject to the terms of the Plan) and to the extent to which the performance conditions over the performance period ending on 31 March 2028 have been satisfied, as determined by the Remuneration Committee. Dividend, or dividend equivalents, will accrue on record dates occurring between the date of grant and vesting date to the extent that the Awards vest for performance. Awards will vest once the Remuneration Committee has determined the extent to which the applicable performance conditions have been met. Following vesting of an Award, Executive Directors will be required to hold the resulting shares (after any shares are sold to fund income tax/employee's NICs) for a holding period which shall not end before the fifth anniversary of the date of grant. Each Award was granted at nil cost to the participant, and was calculated by reference to an average of the five preceeding days middle-market share price prior to the date of grant.
