NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PDMR's OR CONNECTED PERSONS

United Utilities Group PLC (the company) hereby announces in accordance with DTR 3.1.4R, after notification by the independent Trustee of the United Utilities Employee Share Trust, the transfer by the Trustee to participants of the beneficial ownership of ordinary shares of 5p each in the company following the exercise of awards (as detailed below) in the Performance Share Plan (PSP) and in the Matching Share Award Plan (MSAP), both of which related to the performance period 1 April 2012 to 31 March 2015. The awards were exercised by the participants detailed below (at nil cost) on 28 May 2015, following the achievement of performance criteria as determined by the company's Remuneration Committee. All transactions took place in England. Shares were sold at 1000.07 pence per share. Total number of shares sold includes those to cover cost of income tax, NI and dealing costs.
