Sub: Intimation of 15[th] Annual General Meeting (“AGM”) of Shareholders/Members of BarbequeNation Hospitality Limited (the “Company”)

Pursuant to Regulations 30 and 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), we wish to inform you the following:

1. Pursuant to Ministry of Corporate Affairs (MCA) General Circular No. 02/2021 dated January 13, 2021, which extended the option to conduct the AGM through Video Conferencing (VC) or Other Audio Visual Means (OAVM) till December 31, 2021 and SEBI Circular No. SEBI/HO/CFD/CMD2/CIR/P/2021/11 dated January 15, 2021 which extended the relaxations pertaining to dispatch of hard copies of Annual Reports and Proxy Forms to listed entities who conduct their AGM through electronic mode till December 31, 2021, the 15[th] Annual General Meeting ('AGM') of Shareholders of the Company is scheduled to be held on Tuesday, August 31, 2021, at 11:00 A.M. (IST) through Video Conference/ Other Audio Visual Means (“VC/OAVM”).

2. In terms of Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014, the Company has fixed Tuesday, August 24, 2021 as cut-off date to record the entitlement of the Shareholders to cast their votes using either remote e-voting or the e-voting facility at the AGM.

Please take all the above on record and treat this as compliance with the SEBI Listing Regulations, Companies Act, 2013 and Rules framed thereunder.
