Sub: Disclosure under Regulation 30 of the SEBI (LODR) Regulations, 2015 regarding resignation of Nominee Director

Dear Sir/Madam

Reference be made to the fact that the Hon’ble Supreme Court in Civil Appeal No. 10856/2016 titled as Bhupinder Singh vs. Unitech Limited, had directed the Union Government, vide its order dated 18.12.20219, to appoint an independent management for Unitech Limited. In compliance thereto, the Central Government in the Ministry of Corporate Affairs proposed the constitution of a new Board of directors, which was approved by the Hon’ble Supreme Court vide its order dated 20.01.2020. Consequently, in compliance of the aforesaid order, eight Nominee Directors were appointed by the Central Government in the Ministry of Corporate Affairs on the Board of Unitech Limited.

Further, Mrs. Uma Shankar was also appointed as Nominee Director by the Central Government in the Ministry of Corporate Affairs (MCA) vide its order dated 19.10.2022 with immediate effect in compliance with Hon’ble Supreme Court order dated 13.10.2022.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015, this is to inform you that Mrs. Uma Shankar (DIN: 07165728), Nominee Director (Non-Executive) has resigned from the Board of the Company with effect from 07.03.2026. A copy of her resignation email dated 07.03.2026 is enclosed herewith as Annexure -1.

In furtherance to above, MCA (Appointing Authority) has issued an order No. F.N. Legal-10/1/2020-O/o DGCoA-MCA dated 25th March, 2026 intimating her resignation to the Company. A copy of the MCA order dated 25th March, 2026 is enclosed herewith as Annexure-2.

The detailed reason of her resignation is encapsulated below:

I am directed to refer to the captioned subject and email dated 07.03.2026 received from Ms. Uma Shankar tendering her resignation from the Board of Unitech and letter dated 18.03.2025 from Ms. Rasika Chaube expressed her unwillingness to join the Board of Unitech Limited as she is presently holding a post as member in Armed Forces Tribunal.

1. In this regard, Unitech Limited is requested to ensure the requisite compliances under the relevant statutes, such as the Companies Act, 2013 and to inform these developments to the Hon’ble Supreme Court by way of affidavit.

This issues as per the directions of competent authority.
