FILING OF THE PROPOSED MERGER INTO UNIPOL GRUPPO S.P.A. OF UNIPOLSAI ASSICURAZIONI S.P.A., AND UNIPOL FINANCE S.R.L., UNIPOLPART I S.P.A. AND UNIPOL INVESTMENT S.P.A.

Bologna, 29 April 2024

UnipolSai Assicurazioni S.p.A. ("UnipolSai" or the "Company") hereby announces that, today, the proposed merger into Unipol Gruppo S.p.A. ("Unipol") of UnipolSai, and Unipol Finance S.r.l., UnipolPart I S.p.A. and Unipol Investment S.p.A. - with the latter three companies entirely held by Unipol and holding shares in UnipolSai - approved by the board of directors of the Company during the meeting held on 21 March 2024, was filed at the registered office.

Details of the proposed merger are also available on the Company's website (www.unipolsai.com) under the section Governance/Corporate Operations/Merger of UnipolSai into Unipol.

The registration of the proposed merger with the relevant Business Register is subject to authorisation by IVASS (the Italian Insurance Supervisory Authority) pursuant to article 201 of Legislative Decree no. 209 of 7 September 2005 and article 23 of IVASS Regulation no. 14/2008.
