CROSS-BORDER MERGER BY ABSORPTION OF UNIPOLRE D.A.C. INTO UNIPOLSAI ASSICURAZIONI S.P.A. - PRESS RELEASE PURSUANT TO ARTICLE 70, PARAGRAPH 7, LETT. C), OF CONSOB REGULATION NO. 11971/99

Further to the press release 9 August last, UnipolSai Assicurazioni S.p.A. ("UnipolSai" or the "Company") hereby announces that the resolution taken by the Board of Directors of UnipolSai on 28 September 2023 resolving on the approval of the cross-border merger by absorption of UnipolRe D.A.C. into UnipolSai, − pursuant to articles 2502 and 2505, paragraph 2, of the Italian Civil Code and article 17 of the Articles of Association − as registered in the Companies Register of Bologna on 29 September 2023, has been made available to the public today pursuant to article 70, paragraph 7, lett. c), of Consob Regulation no. 11971/99.
