SUBSIDIARY MERGERS / DEMERGERS

Bologna, 21 January 2020

UnipolSai Assicurazioni S.p.A. ("UnipolSai" or the "Company") announces that following the required authorisations by IVASS (Institute for the Supervision of Insurance) and completion of the corporate procedures, the following transactions were agreed today:

• the merger of Pronto Assistance S.p.A. into UnipolSai (the "Merger");
• the total demerger of Ambra Property S.r.l. in favour of UnipolSai, Gruppo UNA S.p.A. and MIDI S.r.l.;
• the partial demerger of Casa di Cura Villa Donatello S.p.A. ("Villa Donatello") in favour of UnipolSai, and the total demerger of Villa Ragionieri S.r.l. in favour of the Company and Villa Donatello,

all companies are fully controlled by UnipolSai.

These transactions will take legal effect from 1 February 2020 subject to registration with the applicable Company Registration Offices. The transactions will take effect from 1 January 2020 for accounting and tax purposes with reference to the Merger and total demergers of Ambra Property and Villa Ragionieri, and from 1 February 2020 with reference to the partial demerger of Villa Donatello.
