SALE OF PERFOMANCE SHARES ARISING FROM COMPENSATION PLANS BASED ON FINANCIAL INSTRUMENTS FOR PAYMENT OF TAX CHARGES

Bologna, 5 July 2018

Unipol Gruppo S.p.A. hereby announces that on 2 July, the conditions having been met, the performance shares arising from the long-term compensation plans based on financial instruments, approved by the relevant Shareholders' Meetings, were assigned to executives of the Unipol Group.

In order to allow the payment of the tax charges arising from such assignment, the management provided for the divesting of a proportionate quota of the shares assigned. The sale transactions, concluded on the date hereof, concerned a 1,394,596 ordinary Unipol shares and were carried out on the electronic market.
