SHAREHOLDING IN BANCA POPOLARE DI SONDRIO S.p.A.

With reference to the news that appeared in the press today, Unipol Gruppo S.p.A. would like to clarify that it has launched preparatory activities to obtain the necessary authorisations from the competent (Italian and foreign) Supervisory Authorities in order to assess possible future increases in the shareholding held by the Unipol Group in Banca Popolare di Sondrio S.p.A. ("BPSO" or the "Bank"), taking into account the market conditions and general context existing from time to time.
An increase in the shareholding would allow the Unipol Group to consolidate its industrial and corporate partnership with BPSO in the Life and Non-Life bancassurance segment (recently renewed for a five-year period), strengthening its strategic approach, to increase the stability of the BPSO Group's shareholding structure for the positive pursuit of its business plan objectives and to stimulate the Bank's development according to the best market practices.
