STIPULATED AND REGISTERED THE DEED OF MERGER BY INCORPORATION OF UNIPOLSAI ASSICURAZIONI S.P.A., UNIPOL FINANCE S.R.L., UNIPOLPART I S.P.A. AND UNIPOL INVESTMENT S.P.A. INTO UNIPOL GRUPPO S.P.A.
Bologna, 23 December 2024
Unipol Gruppo S.p.A. (also the "Company" or "Unipol") hereby announces that today the deed of merger by incorporation of UnipolSai Assicurazioni S.p.A. ("UnipolSai"), Unipol Finance S.r.l., UnipolPart I S.p.A. and Unipol Investment S.p.A. into Unipol Gruppo S.p.A. (the "Merger") was stipulated.
Today the deed of Merger has been filed and registered at the Bologna Companies Registration Office.
The civil law effects of the Merger will take effect at 11:59 p.m. on 31 December 2024 (the "Effective Date"). The accounting and tax effects of the Merger will instead take effect from 1 January 2024.
It should be noted that, as from the Effective Date, Unipol will assume the corporate name "Unipol Assicurazioni S.p.A." or, for short, "Unipol S.p.A." and the amendments to the by-laws relating to the Merger will come in force.
The documents relating to the Merger are available to the public on the Company's website www.unipol.it (Section Governance/Corporate Operations/Corporate Rationalization Project of the Unipol Group).
