UNIPOL GRUPPO S.P.A. REACHES A STAKE EQUAL TO APPROXIMATELY 19.7% IN THE SHARE CAPITAL OF BANCA POPOLARE DI SONDRIO S.P.A.

Unipol Gruppo S.p.A. ("Unipol") announces that it has successfully completed the purchase of 46,300,000 ordinary shares of Banca Popolare di Sondrio S.p.A. ("Banca Popolare di Sondrio" or the "Bank"), equal to approximately 10.2% of the share capital of Banca Popolare di Sondrio, through a reverse accelerated bookbuilding procedure exclusively addressed to qualified investors and foreign institutional investors (the "RABB").

Equita SIM S.p.A. and Mediobanca - Banca di Credito Finanziario S.p.A. acted as authorized intermediaries and joint bookrunners in connection with the RABB.

The consideration for the purchase of shares under the RABB is Euro 5.10 per share, for a total outlay of approximately Euro 235.6 million. Settlement of the RABB will take place next 2 October 2023.

Mandatory disclosures will be made in the manner and within the timeframe prescribed by the applicable provisions.
