Bologna, 26 May 2021

UnipolSai S.p.A. ("UnipolSai" or the "Company") announces the completion of the purchase of no. 18,207,598 ordinary shares of Banca Popolare di Sondrio S.C.P.A. ("BPS" or the "Bank"), equal to approximately 4.0% of the share capital of the Bank itself, through a reverse accelerated bookbuilding (RABB) procedure, addressed exclusively to qualified investors and foreign institutional investors (the "Transaction").

Equita SIM S.p.A. acted as authorized intermediary and sole bookrunner of the Transaction.

The consideration for the purchase of the aforesaid shares is equal to EUR 4.15 per share, for a total disbursement of approximately EUR 75.6 million. The settlement of the Transaction will take place on 28th May 2021.

As a result of the Transaction, UnipolSai - which prior to the completion of the Transaction already held 13,126,000 BPS shares, equal to approximately 2.9% of the Bank's share capital - will now hold approximately 6.9% of the share capital of BPS.

The Company will promptly disclose any change in the number of shares purchased which may arise from adjustments or rounding.

The mandatory communications will be made in accordance with the modalities and within the timing provided under the applicable rules.
