UNIPOLSAI ASSICURAZIONI S.P.A. ANNOUNCES THE DESIGNATION OF ITALY AS THE HOME MEMBER STATE OF LISTED BONDS ISSUED BY THE COMPANY

Bologna, 8 August 2024

Unipol Gruppo S.p.A., on behalf of UnipolSai Assicurazioni S.p.A. (the "Company"), hereby announces that today's meeting of Company's Board of Directors, held following the delisting of the shares from the Euronext Milan as of 3 July of this year, as per the press release issued on the same date, has resolved:

• − the designation of Italy as the Company's home member State pursuant to and for the purposes of Article 1, paragraph 1, letter w-quater, n. 4) of Legislative Decree 58/1998 (the "Consolidated Law on Finance") and Article 65-decies of the Regulations issued by CONSOB with resolution no. 11971/1999 (the "Issuers' Regulations"), given that it is an issuer of bonds with a nominal unit value of Euro 100,000 listed on the Luxembourg Stock Exchange regulated market;
• − as a result of the above, pursuant to Article 83, paragraph 1, letter b, of the Issuers' Regulations, the Company will no longer be subject to the obligation to prepare and publish the financial reports required by Article 154-ter of the Consolidated Law on Finance, and that the Company will no longer proceed with voluntary publication of the additional periodic financial information referred to Article 82-ter of the Issuers' Regulations.
