RESIGNATION OF A DIRECTOR AND APPOINTMENT OF MANAGER RESPONSIBLE FOR PREPARING THE COMPANY'S FINANCIAL REPORTS
Milan, 2 October 2025
Unipol Assicurazioni S.p.A. ("Unipol" or the "Company") hereby announces the resignation of Miss Barbara Quaresmini from his office as Director - due to unforeseen professional commitments - with effect from today.
Miss Quaresmini - non-executive, independent Director and member of Committee for Related Party Transactions - was appointed by the Ordinary Shareholders' Meeting of 29 April 2025 from the majority list submitted by the shareholders' agreement regarding Unipol shares. The list included 18 candidates (including Miss Quaresmini), all elected by said Shareholders' Meeting, along with the first name on the list that came second in terms of numbers of votes. Since there are no other candidates from that list to elect, the voting list rules provided for under the articles of association do not apply.
The Board of Directors of Unipol acknowledged the aforementioned resignation and decided to initiate preparatory activities for the adoption, at a future meeting, of the appropriate resolutions regarding the composition of the administrative body, in compliance with current laws and regulations.
Finally, the Company informs that the Board of Directors appointed Mr Francesco Masci, Group Chief Financial Officer, as the Manager responsible for preparing the Company's Financial Reports pursuant to art. 154-bis of the Consolidated Law on Finance.
