COMPOSITION OF BOARD OF DIRECTORS
Bologna, 20 January 2025
Unipol Assicurazioni S.p.A. ("Unipol") hereby announces with deep sadness the premature death of Paolo Fumagalli, non-executive and independent Director. Mr. Fumagalli was appointed by the Ordinary Shareholders' Meeting on 28 April 2022, as part of the majority list submitted by the Shareholders' Agreement concerning Unipol shares.
Mr. Fumagalli also held the position of Chairman of the Committee for Related Party Transactions and was a member of the Control and Risk Committee and the Supervisory Board pursuant to Legislative Decree No. 231/2001.
The Board of Directors will adopt appropriate resolutions in this regard at its next meeting, planned on 13 February 2025, it being understood that, following the passing away of Mr. Fumagalli, the board still complies with criteria of appropriate composition in accordance with the applicable regulatory, self-regulatory and statutory provisions.
