SUBMISSION OF THE LISTS FOR THE ELECTION OF THE NEW CORPORATE BODIES OF BPER S.p.A.

Bologna, 26 March 2021

Further to the market announcement on 18 March 2021, Unipol Gruppo S.p.A hereby announces that it filed the lists of candidates today for the appointment of the Board of Directors and the Board of Statutory Auditors of BPER Banca S.p.A. (also referred to as the "Bank") for the 2021-2023 three-year period in view of the upcoming ordinary session of the Bank's shareholders' meeting called for 21 April next.

The list submitted for the appointment of the Board of Directors comprises 7 candidates, whose names are listed below in progressive order:

• 3. Papa Gianni Franco
• 4. Beccalli Elena
• 5. Cappello Maria Elena
• 6. Santi Gian Luca
• 7. Giay Roberto

The list submitted for the appointment of the Board of Statutory Auditors comprises 2 candidates for the position of standing auditor and 2 candidates for the position of alternate auditor, all of whom are independent and whose names are listed below in progressive order:
