PROPOSED VARIATION TO TERMS OF PERFORMANCE SHARES

Highlights:

 3 Approvals required.

• ASX approval granted (see below)

• Ordinary shareholders to vote on approval on 10 April

• Written approval being separately sought from holders of performance shares

• Remaining performance shares to Lapse after final approval

Thred Limited (the ‘Company’) advises that ASX has granted the Company a waiver from listing rule 9.7 to the extent necessary to permit the amendment of the restriction agreements covering the remaining 31.5 million performance shares, held by founders and promoters of the Company, subject to the conditions below. This in turn will allow the Company to make a variation to the terms of the performance shares by deleting the remaining milestone. As a result, all performance shares on issue will lapse.

The waiver is granted on condition that the terms of the waiver are announced to the market, and that the proposed variation is also approved separately by ordinary shareholders and the holders of the performance shares.

As indicated in the Notice of Meeting dated 13 March 2017, ordinary shareholder approval is being sought in the general meeting to be held on 10 April 2017, and the company is separately seeking the written approval of the holders of the performance shares.
