Promesa Ltd (‘Promesa’ or the ‘Company’) refers to the appended directors interest notice for Mr Kathiravelu. In its due diligence process and related internal audit for the prospectus being prepared for the Thred transaction, the Company identified information not yet disclosed and reports it here. The Appendix 3y for Mr Kathiravelu shows the correct current holding details. The Company advises that these notices have not met the timetable as per Listing Rule 3.19A, but it has now given notice at its earliest opportunity.

Under the Company’s corporate governance policy all Directors must inform the Company Secretary via email as soon as possible following the acquisition or sale of securities in the Company. All Officers of the Company are aware of their obligations regarding ‘notifiable interests of a Director’. Mr Kathiravelu’s change in interest is the result of an on-market order for 300,000 shares being placed with a broker, which was completed in 3 parts. Only 2 contracts of sale were provided to the Company, and the registry was not updated by the broker until 17 November. The Company believes that its current policies are adequate for compliance with Listing Rule 3.19B.
