SECTION 708A CLEANSING NOTICE

This notice is given by PVW Resources Limited (ASX: PVW) as required by section 708 (5) (e) of the Corporations Act 2001 (Cth) (Corporations Act) .

PVW Resources Limited advises that effective 7 September 2021, it issued 1,500,001 Fully Paid Ordinary Shares, 850,000 Tranche A Performance Rights and 850,000 Tranche B Performance Rights to the vendors of Stark Resources Pty Ltd in respect of the completion of the sale of 100% of the issued capital of Stark Resources Pty Ltd to PVW Kalgoorlie Pty Ltd a 100% owned subsidiary of PVW Resources Limited.

In accordance with section 708A(6) of the Corporations Act, PVW Resources Limited confirms that:

1. The equity securities and performance rights were issued without disclosure to investors under Part 6D.2 of the Corporations Act.

2. This notice is being given under section 708A(5)(e) of the Corporations Act.

3. As at the date of this notice, PVW Resources Limited has complied with:

4. (a) The provisions of Chapter 2M of the Corporations Act as the apply to PVW Resources Limited; and

5. (b) Section 674 of the Corporations Act.

6. As at the date of this notice, there is no information that is ‘excluded information’ (within the meaning of section 708A(7) and 708A(8) of the Corporations Act).
