UNIEURO S.P.A.: STIPULA ATTO DI FUSIONE RELATIVO ALLA FUSIONE PER INCORPORAZIONE DI CARINI RETAIL IN UNIEURO

Forlì, 5 agosto 2020 – Facendo seguito al comunicato stampa del 16 aprile 2020, si comunica che Unieuro S.p.A. (di seguito "Unieuro") e Carini Retail S.r.l. con socio unico (di seguito "Carini Retail"), in esecuzione delle deliberazioni assunte in data 18 marzo 2020 rispettivamente dal Consiglio d'Amministrazione di Unieuro, ai sensi degli articoli 2365 e 2505 del codice civile e dell'articolo 16 dello statuto sociale, e dall'Assemblea straordinaria di Carini Retail, hanno stipulato in data odierna l'atto di fusione relativo alla fusione per incorporazione della controllata Carini Retail nella controllante Unieuro (la "Fusione").

Gli effetti civilistici della Fusione decorreranno, una volta completate le iscrizioni presso il competente Registro delle Imprese di Forlì-Cesena, a far data dal giorno 1° settembre 2020, mentre gli effetti contabili e fiscali decorrono dal primo giorno dell'esercizio sociale nel corso del quale si è perfezionata la Fusione ai sensi e per gli effetti di cui all'art. 2504-bis comma 2 del c.c. (1° marzo 2020). La Fusione non comporterà alcun aumento di capitale sociale della incorporante Unieuro, detenendo quest'ultima l'intero capitale sociale della incorporata Carini Retail.

UNIEURO S.P.A.: EXECUTION OF THE MERGER DEED RELATING TO THE MERGER BY WAY OF INCORPORATION OF CARINI RETAIL INTO UNIEURO

Forlì, 5 August 2020 – Further to the press release dated 16 April 2020, notice is hereby given that on the date hereof Unieuro S.p.A. ("Unieuro") and Carini Retail S.r.l. con socio unico ("Carini Retail"), in compliance with the resolution of 18 March 2020 of the Board of Directors of Unieuro pursuant to Articles 2365 and 2505 of the Italian Civil Code and Article 16 of Unieuro's By-laws, and the resolution of the extraordinary shareholders' meeting of Carini Retail, entered into the merger deed relating to the merger by way of incorporation of Carini Retail into Unieuro (the "Merger").

The Merger, subject to registration of the merger deed in the competent Forlì-Cesena Companies' Register, shall be effective as from 1 September 2020, and, from a tax and accounting standpoint, shall be effective as from the first day of the financial year during which the Merger was completed pursuant to and for the purposes of Article 2504-bis, paragraph 2, of the Italian Civil Code (i.e. 1 March 2020). The Merger will not involve any share capital increase of Unieuro, since the entire share capital of Carini Retail is wholly owned by Unieuro.
