UNIEURO S.P.A.: CLOSING FOR THE ACQUISITION OF MONCLICK FINALIZED

Forlì, 9 June 2017 – Unieuro S.p.A. (MTA: UNIR), the largest omnichannel distributor of consumer electronics and household appliances by number of outlets in Italy, today announced the completion of the acquisition from Project Shop Land S.p.A of the whole share capital of Monclick S.r.l., one of the leading Italian e-commerce platforms specialised in the sale of consumer electronic products and in the B2B2C online market.

Monclick operates through two business lines: the sale of consumer electronic products to final customers by www.monclick.it website (B2C); the management of business partners' loyalty programmes (B2B2C – products sold to final customers through partnerships with large companies operating in other sectors).

The acquisition, announced on 23 February 2017, has a strong strategic rationale for Unieuro as it allows the Company to significantly increase revenues in the online segment, thus strengthening its positioning in the domestic market and entering the promising B2B2C market.

The integration between Unieuro and Monclick is already in progress and will deliver important synergies at logistics, purchasing, IT and G&A level, while expanding the product range thanks to the broad assortment of Monclick.

The total consideration of the transaction is 10 million Euros, of which 3.5 million paid today and the remaining part to be deferred within the next 5 years.
